Terms of sale

These general terms of sale (the “Terms”) apply to every order placed on nauply.com. They set out your rights and ours when you buy a NAUPLY audio software licence. Please read them before ordering: placing an order means you accept them. This English version is a translation; the French version prevails.

Draft — to be reviewed by your accountant / lawyer before publication.

Last updated: October 14, 2026

1. 1. Seller

The seller depends on the payment method you choose, which is shown on the order page before you pay.

Payment through Lemon Squeezy: the order is sold to you by Lemon Squeezy (Lemon Squeezy, LLC), our authorised reseller acting as “merchant of record”. Lemon Squeezy concludes the sale with you, collects the payment, calculates and remits any VAT or sales tax due in your country, and issues your receipt and invoice. NAUPLY remains the software publisher: we provide the licence, downloads, updates and customer service under these Terms.

Direct sale (payment by card through Stripe or by PayPal, when these methods are offered): products are sold by idircode, a French sole trader operating under the micro-enterprise scheme and under the trade name NAUPLY, domiciled at NAUPLY DIGITAL, 59 rue de Ponthieu, bureau 326, 75008 Paris, France. SIREN: [SIREN to be completed]. Contact: contact@nauply.com. VAT not applicable, article 293 B of the French General Tax Code (“TVA non applicable, art. 293 B du CGI”).

Further information about the site publisher is on the Legal notice page.

2. 2. Scope

These Terms apply to orders placed on nauply.com by consumers and by businesses, whatever their country of residence. Some provisions (right of withdrawal, legal guarantee of conformity, mediation) only concern consumers, meaning individuals buying for purposes outside their trade or profession.

For an order paid through Lemon Squeezy, its terms of sale, shown on its checkout page, also apply to payment, invoicing, taxes and refunds; these Terms govern the licence, delivery, updates, guarantees and customer service. They never reduce your statutory rights.

The applicable version is the one in force on the day of the order. It is available on the site at all times and can be saved or printed. We may change these Terms; changes do not apply to orders already placed.

3. 3. Products

NAUPLY sells licences to use digital audio software: VST3 and AU plugins, standalone versions and apps. No product is shipped on a physical medium: everything is downloaded from your NAUPLY account.

Each product page lists the software's main features, its system requirements (operating system, processor, formats), the number of computers allowed per licence and, where relevant, any additional downloads (such as AI models). Audio processing runs on your computer, but the licence needs an Internet connection at least once every 90 days to renew itself.

Some products come in several editions (for example NAUPLY Stems Free, Premium and Pro); the differences are described on the product page.

4. 4. Prices

Prices are shown in euros on the site. Payment through Lemon Squeezy: Lemon Squeezy, as reseller, applies any VAT or sales tax due in your country; the exact amount, taxes included, is shown on its checkout page before you confirm. Direct sale: VAT not applicable, article 293 B of the French General Tax Code, the price shown is the final amount, with no VAT added.

Any currency conversion or bank fees charged by your bank remain your responsibility.

The applicable price is the one shown when you confirm your order. During a promotion, the reference price shown is the lowest price charged in the 30 days before the discount, as required by French rules.

We may change our prices at any time. For an ongoing subscription, any price change is announced by e-mail before the renewal it affects; you can then cancel at no cost before it applies.

5. 5. Ordering

Every order requires a free NAUPLY account. You choose the product (and, where relevant, the edition and plan), check the summary and total price, then confirm your order with the payment button, which clearly states that the order involves an obligation to pay.

Before paying, you accept these Terms and, for digital content, give the express consent described in the Right of withdrawal section. The contract is concluded as soon as payment is confirmed. A confirmation e-mail summarises the order.

We may refuse or cancel an order in the event of proven fraud or an unresolved earlier dispute; you are then refunded in full.

6. 6. Payment

Orders are payable immediately and in full.

Payment through Lemon Squeezy: you pay on Lemon Squeezy's secure checkout page (card, PayPal or other methods it offers in your country). Direct sale: by card, Apple Pay or Google Pay through our payment provider Stripe, or through PayPal. Payment data is handled directly by these secure providers: NAUPLY never has access to your card number.

For a subscription, you authorise the automatic charge of each new period to the saved payment method until you cancel. If a payment fails, access to the paid edition may be suspended until the payment is settled.

7. 7. Invoice

Payment through Lemon Squeezy: the invoice is issued by Lemon Squeezy (reseller), in its own name, including any VAT due in your country; it is e-mailed to you with the receipt, whose link is also available under “My account › My orders”. NAUPLY does not issue an invoice for these orders, and the “VAT not applicable” statement does not apply to them.

Direct sale: a paid invoice is issued automatically for every payment, including each subscription renewal. It is attached to the confirmation e-mail and remains available under “My account › My invoices”. It bears the statement “TVA non applicable, art. 293 B du CGI” (VAT not applicable). Business customers can enter their company name and VAT or SIREN number when ordering so that they appear on the invoice.

8. 8. Delivery

Delivery is immediate and digital: as soon as payment is confirmed, the licence and installers appear in your NAUPLY account, and an e-mail sends you the licence. There are no delivery costs.

If the licence does not appear in your account within minutes of payment, write to contact@nauply.com: we will fix the problem quickly or refund you.

9. 9. Licence to use

The software is licensed, not sold. Your purchase grants you a personal, non-exclusive and non-transferable right to use it, for private or professional purposes, including creating and commercially exploiting your own music and sounds.

Each licence can be activated on the number of computers shown on the product page. Activation is done online from the software, with your account or licence key (offline activation is available from your account). To change computers, you release the old one from your account or from the software; to prevent licence sharing, these deactivations are limited to 3 per licence over 30 days. Support can help if you have a legitimate need.

You may not resell, rent, lend, share or transfer the licence, make it available to third parties, circumvent the licence protection, or decompile or disassemble the software, except where the law expressly allows it.

Updates within the same major version (for example all 1.x versions) are included. A new major version may be offered at an upgrade price.

In the event of a serious breach of these rules, payment fraud or a refund, the licence may be revoked: the software then stops working at the latest when its activation token expires.

10. 10. Subscriptions, free editions and trials

Some products, such as NAUPLY Stems Premium and Pro, are offered as a monthly or annual subscription, or as a one-time purchase (lifetime licence, no renewal).

A subscription renews automatically at the end of each period, at the current price. You can cancel it at any time, in a few clicks from “My account” or by e-mail to contact@nauply.com. Cancellation takes effect at the end of the current, already paid period: you keep access until then, with no pro-rata refund. For an annual subscription, a reminder e-mail is sent before it renews.

When the subscription ends, the software returns to the free edition if it is still valid on your account; your projects and settings are kept.

A product's free edition, where available, requires a NAUPLY account and remains valid for 6 months from its creation, once per account.

Products that offer it can be tried free for 4 days, with no commitment, with a NAUPLY account (one trial per product, per account and per computer). We strongly encourage you to try the software before buying, to check that it works with your computer and your music software.

11. 11. Right of withdrawal

As a rule, a consumer has 14 days from the conclusion of the contract to withdraw without giving any reason.

However, NAUPLY products are digital content not supplied on a tangible medium. Under article L221-28 13° of the French Consumer Code and article 16(m) of Directive 2011/83/EU, the right of withdrawal can no longer be exercised once performance has begun with your prior express consent and your express acknowledgement that you lose this right.

When ordering, a mandatory checkbox therefore asks you to consent to the immediate supply of the digital content and to acknowledge that you thereby lose your right of withdrawal. Delivery begins on payment, when the licence and downloads are made available in your account: from that moment, the right of withdrawal is lost. Confirmation of this consent is included in the order confirmation e-mail.

This is why many products offer a free 4-day trial, and some a free edition: they let you test before you buy.

12. 12. Refunds

Refunds are granted only by NAUPLY, on a reasoned request made from “My account › My orders” (“Request a refund” button) or through the site's contact form, stating the order number and the reason. Every request is reviewed and answered by e-mail.

This framework complies with the law: as the products are digital content supplied immediately with your express consent and your waiver of the right of withdrawal (Right of withdrawal section), no refund is owed merely because you change your mind; your statutory rights, in particular the legal guarantee of conformity (next section), remain in full and are never reduced by this policy.

Execution: for payment through Lemon Squeezy, the refund granted is made by Lemon Squeezy to the payment method used, taxes included; for a direct sale, it is made to the payment method used and a credit note is issued, available under “My account › My invoices”. As merchant of record, Lemon Squeezy may also issue a refund itself in the event of a payment dispute, chargeback or fraud.

Any full refund revokes the licence concerned.

13. 13. Legal guarantee of conformity

Consumers benefit from the legal guarantee of conformity for digital content set out in articles L224-25-12 et seq. of the French Consumer Code. The software must match its description, be fit for its expected use and work on a system meeting the requirements stated on the product page.

We are liable for any lack of conformity that appears within two years of supply (for a one-time supply) or throughout the subscription (for continuous supply). During that period — limited to one year from supply for a one-time supply — the defect is presumed to have existed at the time of supply, unless proven otherwise.

If there is a defect, you are entitled to have the software brought into conformity (fix, update) free of charge and within a reasonable time. Failing that, or if the defect is serious, you can obtain a price reduction or terminate the contract with a refund. We also provide the updates needed to keep the software in conformity for the period you can reasonably expect.

The guarantee does not cover incompatibility with a system not supported according to the product page. Please check the system requirements and use the free trial where available. To report a defect: contact@nauply.com, describing your system, your music software and the problem.

14. 14. Liability and force majeure

We do our best to provide reliable software. We are not liable for damage resulting from improper use, an unsupported system, third-party software, or data loss that regular backups would have prevented. Remember to back up your projects.

For business customers, our liability is limited to direct and foreseeable damage and capped at the amount paid for the product concerned. For consumers, these limits only apply to the extent permitted by law: they never exclude our liability for gross negligence or wilful misconduct, personal injury, or the statutory guarantees.

Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French Civil Code (for example a general Internet outage, failure of a hosting or payment provider, natural disaster).

15. 15. Personal data

Data needed for ordering, invoicing and licence management (account, purchases, hashed fingerprint of activated computers) is processed in accordance with the GDPR. How it is used, how long it is kept and your rights are described on the Privacy page.

For a payment through Lemon Squeezy, your payment and billing data is processed by Lemon Squeezy under its own privacy policy; we only receive what is needed to deliver the order (e-mail address, name, order number, amount, receipt link).

16. 16. Intellectual property

NAUPLY software, presets, sounds, interfaces, texts, names and logos remain the property of their author. The licence transfers no ownership to you: it only grants the rights of use described in the Licence to use section.

The sounds and music you create with NAUPLY software belong to you. Some software includes open-source components, whose licences and notices are supplied with the software. VST is a registered trademark of Steinberg Media Technologies GmbH. Audio Units is a trademark of Apple Inc.

17. 17. Customer service

For any question, complaint or help with an order or a licence: contact@nauply.com. We usually reply within 48 business hours, in French, English or Spanish.

18. 18. Consumer mediation

In the event of a dispute, first send a written complaint to contact@nauply.com. If no solution is found, consumers can refer the matter free of charge to the consumer mediator we belong to, no later than one year after their written complaint: [Consumer mediator to be completed: name, address, website — legal obligation, article L612-1 of the French Consumer Code].

19. 19. Governing law, courts and language

These Terms are governed by French law. If you are a consumer residing in another country, you keep the protection granted by the mandatory provisions of the law of your country of residence.

Failing an amicable solution, any dispute is brought before the competent courts under ordinary rules. A consumer may choose to bring proceedings before the court of the place where they lived when the contract was concluded or when the harmful event occurred. For business customers, the courts of Paris have exclusive jurisdiction.

These Terms are available in French, English and Spanish. In the event of any discrepancy between these versions, the French version prevails.

If any clause of these Terms is held invalid, the other clauses remain in force.
